Payment of fee for company registration

Payments of fees for services provided by the Agency within the Company Register are made to Account: 840-29770845-52, model 97, download reference number (In order to correctly fill out the payment slip for the payment of the fee, please click on the button to download the mandatory reference number generated by the Agency, according to Model 97.The generated reference number is valid for only ONE payment).

Fees for company registry submissions

The fee for the registration of formation of a company, which is registered with the Business Entities Register pursuant to the Law on the Procedure of Registration with the Serbian Business Registers Agency, amounts to RSD 4,900.

When an application for registration of a company (general partnership, limited partnership, limited liability company and joint stock company) is filed, the fee amounting the sum of RSD 1,000 is paid for the registration and publication of a memorandum of association.

The fee for the registration of formation of a foreign company branch and a foreign company representative office amounts to RSD 4,900.

The fee for the registration of formation of a domestic company a branch amounts to RSD 2,800 per branch.

The fee for a duly filed application for registration of changes to registered data on a company, foreign company branch and representative office, amounts to RSD 2,800.

If several changes are requested in one application for registration, the fee that amounts to RSD 2,800 is increased by RSD 1,400 for each change.

An additional fee amounting to RSD 6,000 is paid for the late filing of application for registration of changes to registered data of a business entity from the Register (applies to applications filed upon the expiry of the period of 15 days from the date on which occurred the change to data or document subject to registration, i.e. to the registered data or document).

The fee for the registration and change of the business activity of an association amounts to RSD 2,800.

Data on a business entity’s e-mail, phones and a web page are registered free of charge.

The fee for the registration of other data on a company or of a strike-off amounts to:

  • RSD 4,900 - for the registration of changes of legal form
  • RSD 5,500 - for the registration of status changes for each business entity taking part in the status change
  • RSD 1,000- for the reservation of a business name
  • RSD 2,800 - for the registration of an annotation of data relevant for business transactions, and other data subject to registration pursuant to the law
  • RSD 3,000 - for strike-off of a business entity
  • RSD 300 per co-owner - for registration of shares in co-ownership and changes in co-ownership, in addition to the fee prescribed under Art. 3, para. 1 of this Decision (RSD 2,800)
  • RSD 1,000 - for the registration and publication of a memorandum of association
  • RSD 1,000 - for the registration and publication of articles of association
  • RSD 1,000 - for the registration and publication of other documents subject to registration and publication pursuant to the law
  • RSD 700 – for the publication of documents subject to publication pursuant to the law.

The fee for the issuance of extracts of a business entity from the Register, copies and print-outs of documents amounts to:

  • RSD 1,700 - for the issuance of an excerpts of registered data of a business entity
  • RSD 850 - for the issuance of an excerpts of registered data in electronic format – in preparation
  • RSD 1,700 - for the issuance of a copy of entry of a decision
  • RSD 30 per document page - for the issuance of a copy of registration supporting documents
  • RSD 120 - for printing an application form
  • RSD 1,000 - for the issuance of a certificate that a legal entity, a foreign company branch or a foreign company representative office is not registered with the Register or that the Register does not contain the required data, which is subject to registration pursuant to the law
  • RSD 1,500 per legal entity - for the issuance of a certificate on legal succession
  • RSD 500 for each data item - for the issuance of a certificate on data contained in the supporting registration documents and previously registered data.

Proof of payment

When submitting an application for registration to the Agency, registration applicant shall submit one of the following proofs of payment:

1. The first page of the payment order, signed by the authorized person and stamped by the post office, bank or Treasury Department, containing:

  • all mandatory elements of the fee payment made (amount, destination bank account, payment code, purpose of payment, name, surname and address of the payer, name of beneficiary);
  • mandatory reference number generated by the Agency, according to Model 97.

2. Transfer order or certificate, stamped and signed by the bank or Treasury Department, containing:

  • all mandatory elements of the transfer order (fee amount, bank account of the payer, bank account of the beneficiary, i.e. the Agency’s commercial revenues account, payment code, purpose of payment, name of payer, name of beneficiary);
  • mandatory reference number generated by the Agency, according to Model 97;
  • clause that fee has been paid and
  • date on which the fee was paid.

3. The payer’s business account statement, stamped by the bank, the Treasury Department or payer containing:

  • all mandatory elements of the account statement (the name and number of the payer’s account, the account statement number, payment date, account transactions report, the amount paid to the Agency’s account, purpose of payment and payment code) and
  • mandatory reference number generated by the Agency, according to Model 97.

4. Confirmation report that the fee has been paid, issued by the provider of payment services, containing:

  • all of the mandatory elements on the fee payment (that the order for the payment or transfer of the fee amount has been completed, date of completion, fee amount, recipient account number for the payment of the fee to the Agency, reference number according to Model 97 generated by the Agency, purpose of payment, name of paying party, name of recipient, signature and stamp of the authorized person of the provider of payment services).
